Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EEv3 platform, APIs, SDKs, documentation, and related services ("Services") provided by VertexStudio, Inc. ("VertexStudio," "we," "us," or "our").

Acceptance

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Services.

Definitions

• "Entity" means a company or project provisioned on the EEv3 platform.
• "Face" means a typed SDK module mapping a business domain (e.g., ee.auth, ee.billing).
• "Capability" means a discrete function the platform can perform, invoked through the /do endpoint.
• "Scoped Token" means an API key limited to specific faces, capabilities, or resources.
• "Customer Data" means any data you upload, submit, or transmit through the Services.

Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and scoped tokens. You must notify us immediately of any unauthorized access. You may not share accounts across multiple individuals without using the team management features provided by the platform.

API Usage

Your use of the EEv3 APIs is subject to rate limits, usage quotas, and the Acceptable Use Policy. You must not attempt to circumvent rate limits, abuse the /do endpoint, or use the APIs in a manner that degrades service quality for other users. We reserve the right to throttle or suspend access for accounts that violate these terms.

Payment Terms

Paid plans are billed in advance on a monthly or annual basis. Usage-based charges are billed in arrears based on metered consumption. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

Intellectual Property

You retain all rights to your Customer Data. We retain all rights to the EEv3 platform, APIs, SDKs, documentation, and related intellectual property. You grant us a limited license to process your Customer Data solely to provide the Services. We grant you a limited, non-exclusive, revocable license to use the Services in accordance with these Terms.

Warranties

The Services are provided "as is" and "as available." We warrant that the Services will perform materially in accordance with the documentation. To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, VertexStudio's total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the amounts paid by you in the twelve months preceding the claim. In no event shall VertexStudio be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities.

Termination

You may terminate your account at any time by contacting support or using the account settings. We may terminate or suspend your access immediately if you violate these Terms or the Acceptable Use Policy. Upon termination, your right to use the Services ceases. We will make your Customer Data available for export for 30 days following termination, after which it may be deleted.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction in those courts.
